1. Scope of Services

Register Your LLC provides guided online business filing support, document preparation support, order management tools, customer portal access, and related optional services. Services may include state registration support, registered agent service coordination, operating agreement preparation, compliance-related services, document access, and customer support. We may change, suspend, or discontinue parts of the site or services at any time.

2. No Legal, Tax, or Government Affiliation

Register Your LLC is not a law firm, does not act as your attorney, and does not provide legal, tax, or accounting advice. Use of the site or services does not create an attorney-client, fiduciary, or advisory relationship. We are also not affiliated with, endorsed by, or acting on behalf of any federal, state, or local government agency.

3. Eligibility and Authority

You must be at least 18 years old to use the site or services. If you place an order or submit information for a business, entity, or third party, you represent that you have authority to act on their behalf and to provide the information, consents, and authorizations needed for us to perform the requested services.

4. Account Registration and Portal Access

Certain features require an account or portal login. You are responsible for keeping your login credentials secure, maintaining accurate account information, and restricting unauthorized access to your account. You are responsible for activities that occur under your account unless caused by our own misconduct. We may suspend or restrict access if we believe there has been unauthorized use, fraud, misuse, or a violation of these Terms.

We may decline, cancel, limit, or refuse an order if we detect fraud, unauthorized activity, pricing errors, misuse, or operational issues.

8. State Fees, Third-Party Fees, and Non-Refundable Charges

Government filing fees, state fees, taxes, third-party charges, and other pass-through costs are separate from our service fees where applicable. Once state fees or other third-party charges have been submitted, advanced, or committed on your behalf, those amounts are generally non-refundable unless required otherwise by law or the applicable provider.

9. Optional Services, Timing, and Fulfillment

Some services are optional and may be purchased during checkout or later through the portal. Certain services depend on your formation or state registration being approved first. For example, post-formation services such as operating agreement preparation and business compliance services may be purchased earlier but may not move into fulfillment until the required formation or registration milestone is completed. Registered agent activation, renewals, and provider-specific steps may also depend on third-party processes, approval states, or additional information requirements.

10. Recurring Services and Renewal Terms

Some services are recurring subscription services. If a product is presented as recurring at checkout or in the portal, you authorize recurring billing according to the disclosed billing interval unless and until the service is canceled in accordance with the applicable flow. Recurring products may include registered agent service and business compliance service. Renewal timing, next billing dates, cancellation status, and related notices may appear in your portal, confirmation emails, or service-specific disclosures.

11. Cancellations and Refund Requests

Cancellation and refund eligibility may depend on the service purchased, the work already performed, whether government or third-party fees have already been incurred, and any service-specific disclosures shown at checkout or in the portal. If you need to request a cancellation or refund review, contact support@registeryourllc.com. We may deny or partially approve requests where work has already been performed, third-party costs have already been incurred, or the request conflicts with the terms disclosed for that product.

12. Third-Party Providers and Integrations

We may use third-party providers to support payments, customer communications, registered agent coordination, document storage, identity or fraud checks, analytics, CRM, and service fulfillment. We are not responsible for downtime, delays, denials, or errors caused by third-party systems, state agencies, the IRS, payment networks, or external providers, although we may try to help coordinate resolution where possible.

13. Intellectual Property

The site, portal, branding, page layouts, designs, text, graphics, logos, code, workflows, and other content provided by Register Your LLC are owned by us or our licensors and are protected by applicable intellectual property laws. Except for limited personal use connected to your order or account, you may not copy, reproduce, republish, distribute, modify, reverse engineer, or exploit site content without prior written permission.

14. Prohibited Use

You may not use the site or services to engage in unlawful, fraudulent, abusive, or harmful activity.

• Submitting false, misleading, stolen, or unauthorized information.
• Attempting to interfere with, probe, scrape, disable, or gain unauthorized access to the site, portal, or related systems.
• Using the site to violate laws, regulations, or third-party rights.
• Uploading malicious code, spam, or harmful material.
• Using another customer's account or data without authorization.

15. Disclaimers

The site and services are provided on an "as is" and "as available" basis to the fullest extent permitted by law. We do not guarantee that the site will be uninterrupted, error-free, or available at all times, or that any filing, registration, or related service will be approved, completed by a specific date, or accepted by a government agency or third-party provider.

16. Limitation of Liability

To the fullest extent permitted by law, Register Your LLC and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, data loss, or business interruption arising from or related to your use of the site or services. To the fullest extent permitted by law, our total liability for any claim relating to the site or services will not exceed the amount you paid to us for the specific service directly giving rise to the claim during the twelve months before the event giving rise to the claim.

17. Indemnification

You agree to defend, indemnify, and hold harmless Register Your LLC and its affiliates, personnel, and service providers from claims, losses, damages, liabilities, and expenses arising out of your misuse of the site or services, your violation of these Terms, your submitted information, or your violation of another person's rights.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will post the updated version and revise the effective date above. Continued use of the site or services after the updated Terms become effective means you accept the revised Terms.
